LLC Formation & S Corporation Election

Start your business with an organized foundation.

Forming a business is more than picking a name and filing a document. We help coordinate the formation process, prepare the applicable filings, and explain the accounting, tax and compliance responsibilities that follow.

Form Your Business With Greater Clarity

The decisions made at the beginning affect what happens next.

A new business owner may need to consider:

  • The state where the business should be formed
  • The legal name of the company
  • Owners and ownership percentages
  • Whether a registered agent is required
  • Which state documents must be filed
  • Whether an EIN is needed
  • Federal tax classification
  • Whether payroll will be required
  • State & local registrations that may apply
  • How bookkeeping will be maintained

What Is an LLC?

A legal entity — its tax treatment is a separate decision.

For federal income tax purposes, an LLC may generally be treated as:

Disregarded Entity Partnership S Corporation (if elected) C Corporation

Forming an LLC does not automatically make it an S corporation.

Single-Member vs. Multi-Member LLC

Ownership structure changes what's required.

Single-Member LLC

Generally a disregarded entity, reported with the owner's individual return — unless it elects corporate treatment. Still involves an EIN, separate accounts, bookkeeping, and possibly sales tax, payroll, and annual reports.

Multi-Member LLC

Generally taxed as a partnership. Should clearly document ownership %, contributions, profit/loss allocations, management authority, and procedures for adding/removing owners — often requiring an attorney.

S Corporation Election Assistance

Changes tax treatment — not necessarily the legal entity.

An eligible LLC or corporation may request S-Corp tax treatment via Form 2553. Assistance may include:

  • Preliminary eligibility questionnaire
  • Review of entity information & ownership
  • Preparation of Form 2553
  • Collecting required shareholder signatures
  • Submission coordination
  • Late-election review, when applicable
  • Payroll & bookkeeping onboarding recommendations
  • Follow-up on the IRS acceptance letter

IRS approval is not guaranteed. The election isn't complete until the IRS accepts it.

Is an S Corporation Right for Every Business?

No — the election should be evaluated before it's filed.

Before electing, consider:

Expected Net Income Cost of Payroll Officer Compensation Bookkeeping Requirements Separate Tax Preparation State Taxes & Fees Administrative Costs Cash-Flow Needs

A business with limited or inconsistent profit may find the added payroll and accounting costs outweigh the benefit. We don't recommend S-Corp treatment just to "save taxes" — the full picture should be reviewed first.

S Corporation Responsibilities

The election creates continuing obligations.

  • Current bookkeeping & separate bank account
  • Payroll records & quarterly filings
  • Year-end Forms W-2 and W-3
  • Officer-compensation records
  • Shareholder-distribution records
  • Shareholder-basis information
  • Business tax filings & state annual reports
  • Corporate/company records

Things to Know Before You File

The details that catch new owners off guard.

Forming in One State, Operating in Another

The cheapest state isn't always the most practical — foreign qualification, multiple annual reports, and extra fees may apply.

Registered Agent

Someone needs a reliable physical address to receive official state correspondence — separate from formation unless included.

EIN Application

Used for taxes, payroll, banking, and licenses. It doesn't create an LLC or confirm an S-Corp election on its own.

Operating Agreement

Basic templates may be included. Customized provisions, investor terms, or ownership disputes need an attorney.

Business Name & Trademarks

State name approval isn't trademark clearance. Do a proper trademark/branding review before investing heavily in a name.

Additional Registrations

Sales tax permits, employer accounts, business licenses, DBAs — separate from the basic LLC filing unless included.

Frequently Asked Questions

Quick answers before you get started.

Can you form an LLC in any state?

We provide administrative assistance nationwide, subject to the state, activity, and scope requested. Fees and requirements vary by state.

Should I form my LLC in Delaware, Wyoming, or Nevada?

Not automatically. The right state usually depends on where the business is owned, managed and operated. Forming elsewhere may add registrations and recurring costs.

Does an LLC automatically reduce taxes?

No. An LLC is a state-law entity — its federal tax treatment depends on ownership and elections.

Is an LLC automatically an S corporation?

No. S-Corp treatment requires a separate federal tax election and IRS acceptance.

Can a new LLC elect S corporation status?

An eligible LLC may request S-Corp treatment if requirements and deadlines are met — we review your requested effective date first.

Can you guarantee the IRS will approve Form 2553?

No. We can prepare and assist with submitting it, but approval is determined by the IRS.

Does an S corporation need payroll?

A shareholder performing services generally has wage and payroll responsibilities — the amount depends on the facts.

Do you provide an operating agreement?

A basic template may be included in select packages. Customized legal drafting must come from an attorney.

Do you serve non-U.S. owners?

Possibly — foreign ownership can create additional tax, reporting, and eligibility issues. The engagement must be reviewed first.

Does formation include bookkeeping and tax returns?

No. These are separate services unless included in a bundled proposal.

How long does formation take?

It depends on the state, filing method, and whether expedited processing was purchased — we can't control state processing times.

Pricing

Fees depend on the state and service package.

Your proposal separates ServiAmigo's professional fees from government filing fees, registered-agent fees, and any third-party charges. No filing is submitted until the required information, agreement and payment are received.
